Welcome to Mind Spark Live ("Company," "we," "us," or "our"). By accessing or using our website, products, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must discontinue use of our Services.

1. Acceptance of Terms

By accessing or using Mind Spark Live’s Services, you confirm that you have read, understood, and agreed to these Terms. If you are using our Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Services Provided

Mind Spark Live provides AI-powered chatbot solutions and related automation services. Our AI systems are intended to enhance customer interactions and support, but we cannot guarantee that responses generated by our AI are always accurate, truthful, or reliable.

3. Disclaimer of Liability for AI Interactions

• The AI chatbots and automation services provided by Mind Spark Live may generate responses that are inaccurate, misleading, or unintended.

• You acknowledge and agree that AI interactions may contain hallucinated or erroneous information.

• Mind Spark Live shall not be liable for any damages, losses, or claims arising from reliance on AI-generated responses.

• You assume full responsibility for reviewing and verifying the accuracy of information provided by the AI before taking any actions based on such information.

4. Hold Harmless Agreement

You agree to hold harmless, indemnify, and defend Mind Spark Live, its officers, employees, affiliates, and agents from any claims, liabilities, losses, damages, and expenses (including legal fees) arising from:

• Your use or misuse of the Services;

• Any decisions made based on AI-generated responses;

• Any third-party claims related to the content or interactions of the AI chatbots;

• Your breach of these Terms.

5. Cancellation Policy

• You may cancel your Services at any time by providing written notice 30 days in advance.

• We do not prorate payments. All fees are non-refundable.

• If you are on an annual agreement and cancel prior to the renewal date, your prior payments may be recalculated at the standard monthly rate. For example, if you cancel at 6 months, your account will be rebilled for the first 6 months at the monthly rate, not the discounted annual rate.

• Your account must be in good standing to cancel. Any outstanding payments must be brought current before cancellation is processed.

• Charges will continue to accrue until your account is current and the cancellation is completed.

6. Payment and Billing

• You agree to pay all fees associated with your use of the Services as outlined in your agreement or our pricing page.

• Payments are non-refundable and non-transferable.

• Failure to pay may result in the suspension or termination of your Services.

• In the event of a chargeback or dispute, we reserve the right to suspend your account until the dispute is resolved.

7. Limitation of Liability

• To the fullest extent permitted by applicable law, Mind Spark Live shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of the Services.

• If liability is not disclaimed under applicable law, our total aggregate liability for all claims shall not exceed the total amount you have paid to Mind Spark Live in the 12 months preceding the claim.

8. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with the effective date. Continued use of the Services after the Terms are updated constitutes acceptance of the revised Terms.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
